Parties Involved:

• Client: The client is an individual, business entity, or educational institution that requires the creation of YouTube videos. These videos will focus on business case studies, aiming to educate or inform viewers about various business strategies, models, or success stories. The content will be used for promotional, educational, or marketing purposes.
• Contractor: The contractor is a video production team or individual who will handle all aspects of video creation, including scripting, video editing, image sourcing, and voice-over work. The contractor must have experience in video production, including editing, voice-over, and working with business-related content.

Budget:

The total contract budget for 100 videos is ₹1,00,000 (₹1,000 per video). This budget includes all aspects of video creation, from initial research and scriptwriting to the final edited product, ready for upload to the client’s YouTube channel.

Scope of Work:

The contractor will be responsible for producing 100 YouTube videos that focus on different business case studies. Each video will include images, a well-researched script, voice-over narration, and editing to create a final product that is informative, engaging, and polished.

1. Services Provided: The contractor will provide the following services under this contract:

   • Research and Scriptwriting: The contractor will conduct thorough research on various business case studies, focusing on key elements such as business strategies, challenges, innovations, and outcomes. A well-structured, engaging script will be written for each video, highlighting important facts, figures, and analysis. The script will be designed to be informative yet accessible to a wide audience, with a clear focus on the key takeaways.

   • Image Sourcing and Graphics Creation: The contractor will source high-quality images, infographics, and business-related graphics to visually represent the case study’s concepts. Where necessary, original graphics or animations will be created to clarify complex ideas, such as business models, growth strategies, or financial metrics.

   • Voice-over Recording: The contractor will provide professional voice-over narration for each video. The voice-over will be clear, well-paced, and engaging, delivering the script in a tone that suits the target audience. The contractor will ensure that the voice-over is synced with the images and videos for smooth storytelling.

   • Video Editing: The contractor will edit the video, combining the voice-over with the images and graphics. Transitions, background music, and any necessary sound effects will be added to enhance the viewer's experience. The final video will be well-paced, maintaining audience engagement throughout the video.

   • Formatting and Exporting: Each video will be exported in the required YouTube format (1080p resolution, .mp4 file). The contractor will ensure the videos meet YouTube’s technical specifications, such as aspect ratio, file size, and resolution.

2. Timeline and Deadlines:

   • Research and Scriptwriting (1 Week per Video): Each video will require one week for research, scriptwriting, and final approval of the script by the client.
   • Voice-over Recording and Image Sourcing (1 Week per Video): Once the script is approved, the contractor will record the voice-over and source any necessary images or graphics. This phase will take approximately one week.
   • Video Editing and Finalization (1 Week per Video): After the voice-over and images are ready, the editing phase will begin. Each video will be edited and finalized within one week.
   • Delivery Schedule: Videos will be delivered in batches of 10, with the first batch due within 2 weeks after the initial script approval. The remaining videos will be delivered over the course of 10 weeks, with 10 videos delivered each week.

3. Payment Terms:

   • Initial Payment (30%): An initial payment of 30% of the total contract value, amounting to ₹30,000, will be paid upon signing the contract. This will cover the research and scripting phase for the first batch of videos.
   • Progress Payment (40%): After the first batch of 10 videos has been delivered and approved by the client, 40% of the total contract value, or ₹40,000, will be paid.
   • Final Payment (30%): The final 30% payment of ₹30,000 will be made upon completion and delivery of all 100 videos, and once the client has reviewed and approved the final batch.

4. Responsibilities of the Client:

   • Providing Input and Feedback: The client will provide input on the business case studies that should be covered, including any specific companies, industries, or business strategies they want featured. The client will also review the script and provide feedback promptly, ensuring timely completion of the project.
   • Approving Scripts and Final Videos: The client will review each video’s script and provide approval before the voice-over and editing stages. After video editing, the client will review the final video and approve it for delivery.
   • Timely Payments: The client will ensure that payments are made on time as per the agreed payment schedule.

5. Quality Assurance and Standards:

   • Content Accuracy and Relevance: The contractor will ensure that each video is based on accurate, well-researched information and relevant business case studies. The information presented should be up-to-date and factual.
   • Engaging and Informative: The videos will be created with the goal of being both engaging and educational. The script, voice-over, and images will work together to keep the audience interested and provide valuable insights into business concepts.
   • Brand Alignment: The contractor will ensure that all videos align with the client’s brand, including logo placement, colors, fonts, and tone of voice. The videos should feel cohesive with the client's existing content on YouTube or other platforms.
   • Technical Quality: Each video will be delivered with high production quality, including clear audio, sharp images, and professional editing.

6. Revisions and Modifications:

   • Minor Revisions: The client will be given the opportunity to request minor revisions, such as changes to the script, visuals, or voice-over, after reviewing the first draft of each video. Minor revisions will be incorporated into the video without any additional cost.
   • Major Revisions: If the client requests significant changes, such as altering the direction of the video or changing the core content, additional charges may apply based on the scope of the revision.

7. Termination Clause:

   • By the Client: The client may terminate the contract with a 15-day written notice. If the contract is terminated before the completion of the videos, the client will only be required to pay for the work completed up to that point.
   • By the Contractor: The contractor may terminate the contract if the client fails to make timely payments or provide the necessary feedback or materials. The contractor will be entitled to payment for the work completed until the point of termination.

8. Confidentiality Clause:

• The contractor agrees to keep all content and any proprietary information confidential. The videos, scripts, and other materials created for this contract will remain the exclusive property of the client. The contractor will not distribute or use any of the content created for any other purpose without the client’s explicit permission.
