• Client: The educational institution, school board, or organization in need of manufacturing school bags for students. The client is responsible for providing specifications, quantity, and distribution of the school bags to students.
• Contractor(s): The manufacturer or supplier tasked with producing the 1000 school bags. This could be a bag manufacturer, a garment company specializing in accessories, or a supplier capable of meeting the specific requirements outlined by the client.

Budget:

The total contract budget is ₹5,00,000 for the production and delivery of 1000 school bags. The final amount may vary based on factors like material selection, customization, and design intricacies.

Scope of Work:

The contractor will be responsible for the design, production, customization, and delivery of 1000 school bags as per the specifications provided by the client. The scope will cover all stages from design conceptualization, material procurement, production, customization, to final delivery.

1. Services Provided: The contractor will perform the following services as part of the contract:

   • Design and Customization: The contractor will collaborate with the client to determine the design and features of the school bags, which may include choosing bag style (e.g., backpack, sling), colors, compartments, zippers, branding (such as school logo or name), and ergonomic features. Sample designs will be presented for client approval.
   • Material Sourcing and Procurement: The contractor will procure durable, lightweight, and functional materials suitable for school bags. This includes selecting high-quality fabrics such as nylon, polyester, or canvas, as well as zippers, straps, and padding for comfort. The material selection will be based on the client’s requirements, ensuring the bags are long-lasting and comfortable for students.
   • Bag Production: The contractor will handle all aspects of manufacturing the school bags, including stitching, reinforcement, and assembly. The contractor will ensure that the production process adheres to the client’s specifications and the bags meet quality standards for durability and usability.
   • Customization and Branding: If the school bags require custom features such as logos, badges, or school-specific embroidery, the contractor will handle the design and integration of these elements. Customizations should be done in a manner that ensures durability and visual appeal.
   • Quality Control: The contractor will implement quality control measures throughout the manufacturing process. This includes inspecting raw materials, evaluating finished products for stitching quality, ensuring all zippers and compartments function correctly, and performing stress tests to check durability.
   • Packing and Delivery: Once the production of the bags is completed, the contractor will pack each bag carefully, ensuring it is protected during transportation. The contractor will also be responsible for labeling each bag with size tags, school name, or other required information. The bags will be delivered in bulk to the school or designated distribution point.

2. Timeline and Deadlines:

   • Design and Approval Phase (2 Weeks): The contractor will present initial designs and samples to the client within the first two weeks. The client will review and approve the designs. Any changes or adjustments requested by the client will be made during this phase.
   • Production Phase (4-6 Weeks): Following approval of the designs and material selection, the contractor will begin manufacturing the school bags. This phase is expected to take 4 to 6 weeks, depending on the complexity and features of the bags.
   • Quality Assurance and Final Adjustments (1 Week): After production, the contractor will inspect the bags for quality, making any necessary adjustments before final delivery.
   • Packing and Delivery (1 Week): The contractor will pack and prepare the 1000 bags for delivery. The bags will be delivered to the client within one week after the quality control phase.

3. Payment Terms:

   • 30% Advance Payment: The client will pay an advance of 30% of the total contract amount at the time of signing the contract. This payment will cover initial costs such as design work, material procurement, and production setup.
   • 40% Upon Design Approval: After the client approves the final designs and material selection, the contractor will receive the next 40% of the contract price. This payment will cover the production phase.
   • 30% Upon Delivery: The final 30% will be paid once the 1000 school bags are delivered to the client, and the client confirms that all specifications and quality standards have been met.

4. Responsibilities of the Client:

   • Providing Specifications: The client will provide detailed specifications for the school bags, including design preferences, materials, colors, logo placement, compartmentalization, and any other relevant details.
   • Approving Designs: The client will review and approve the designs, materials, and any customizations within the agreed timeline.
   • Timely Payment: The client will make payments as per the agreed schedule.
   • Delivery Location: The client will specify the delivery location and any necessary instructions for delivery, including any specific dates or timeframes.

5. Quality Assurance and Standards:

   • Material Quality: The contractor will ensure that all materials used in the production of the school bags are durable, breathable, and suitable for long-term use. The contractor will choose materials that are resistant to wear and tear.
   • Stitching and Reinforcements: All seams and stitches will be reinforced to withstand the stress of daily use. The zippers, handles, and straps must be sturdy and functional.
   • Customization Durability: Any custom branding, logos, or embroidery must be high-quality and long-lasting, with a guarantee that they will not fade or peel over time.
   • Packing: Each bag will be packed carefully to avoid any damage during transit. The bags will be neatly folded or packed into protective packaging to maintain their condition.

6. Revisions and Modifications:

   • Design Modifications: If the client requests modifications to the design after approval, the contractor will provide a cost estimate for the additional work. Any design changes will be subject to a revised budget and timeline.
   • Quality Issues: If the client identifies defects or issues with the quality of the bags upon delivery, the contractor will be responsible for resolving the problem at no additional cost. This may involve remaking defective bags or repairing faulty components.

7. Termination Clause:

   • By the Client: The client may terminate the contract by providing 15 days’ written notice if the contractor fails to meet agreed-upon deadlines or quality standards. In such cases, the client will pay for the work completed up to the point of termination.
   • By the Contractor: If the contractor is unable to fulfill the contract due to unforeseen circumstances, the contractor will notify the client immediately and provide a refund for any unfulfilled portion of the contract.

8. Confidentiality Clause:

• The contractor agrees to keep all designs, specifications, and client information confidential. The contractor will not share any proprietary information related to the bags, designs, or client details with third parties without written consent from the client.
• Any third-party vendors or subcontractors involved in the manufacturing process will also be required to sign a confidentiality agreement.
