Parties Involved:

• Client: The educational institution, school board, or other organization that requires the manufacture of school uniforms for students. The client is responsible for providing uniform specifications and overseeing the distribution of the uniforms to students.
• Contractor(s): The manufacturer or supplier contracted to produce the school uniforms. This could be a tailoring company, garment manufacturing firm, or individual tailor with the capacity to produce large quantities of uniforms based on the client's specifications.

Budget:

The contract budget is between ₹1,00,000 to ₹5,00,000, depending on the number of uniforms and complexity of the order. Each school uniform is expected to be made as per the specifications provided by the client, and the final budget will be adjusted based on factors like fabric quality, customization, and quantity ordered.

Scope of Work:

The contractor will be responsible for designing, producing, and delivering 1000 school uniforms to the client, ensuring that all uniforms meet the specified standards for quality, sizing, and customization. The contractor will be expected to handle all aspects of manufacturing, including fabric sourcing, stitching, customization, and quality control.

1. Services Provided: The contractor will perform the following services as part of this agreement:

   • Uniform Design and Customization: The contractor will work with the client to finalize the design of the uniforms. This may include providing sample designs or prototypes, selecting fabrics, and determining color schemes. Customizations such as logos, school badges, or unique stitching will also be discussed and incorporated.
   • Fabric Sourcing and Procurement: The contractor will procure high-quality fabric as per the client’s requirements. The contractor will ensure that all fabric used is durable, comfortable, and appropriate for school uniforms. Fabric selection should align with the climate and age group of the students (e.g., breathable materials for warm climates).
   • Pattern Making and Production: The contractor will create uniform patterns based on the agreed-upon sizes and measurements. The contractor will then begin mass production, ensuring that all uniforms are produced in accordance with the agreed design specifications and sizes.
   • Quality Control: The contractor will implement strict quality control measures to ensure that each uniform meets the standards for stitching, fit, and finish. This includes inspecting raw materials, ensuring uniformity in the design, and checking for any defects or errors in stitching, size, and overall quality.
   • Bulk Production: The contractor will produce 1000 school uniforms in the required sizes and specifications. Production will be divided into manageable batches to ensure consistent quality and to meet deadlines.
   • Customizations and Branding: If the uniforms require any branding, such as the school logo, badges, or embroidery, the contractor will handle these customizations with precision and quality. This may involve printing, stitching, or embroidering logos, school names, and other branding materials onto the uniforms.
   • Packing and Delivery: Once the uniforms are complete, the contractor will pack them according to the client’s specifications. Each uniform will be neatly folded, tagged with the correct size, and packed securely for delivery. The contractor will ensure timely delivery to the school or designated location.

2. Timeline and Deadlines:

   • Design and Prototyping Phase (2 Weeks): The contractor will work with the client to finalize the design and fabric selection. Prototypes or sample uniforms will be made and presented to the client for approval within the first two weeks of the contract.
   • Production Phase (4-6 Weeks): Once the design is approved, the contractor will begin production. This phase will take 4 to 6 weeks depending on the number of uniforms to be made and the complexity of the design.
   • Quality Control and Final Adjustments (1 Week): After the production phase, the contractor will conduct quality control checks and make any necessary adjustments. The client may also inspect the uniforms during this phase and request modifications.
   • Packing and Delivery (1 Week): Once the final uniforms are approved, the contractor will pack the uniforms and arrange for delivery. Delivery will occur within 1 week of the quality check and approval.

3. Payment Terms:

   • 30% Advance Payment: The client will pay an advance of 30% of the total budget upon signing the contract. This advance will cover initial costs such as fabric procurement, pattern creation, and initial production setup.
   • 40% Upon Design Approval: After the design and samples are approved by the client, the contractor will receive the next 40% payment. This will cover the bulk production costs.
   • 30% Upon Delivery: The remaining 30% will be paid once the final uniforms are delivered and the client has confirmed the order meets the required specifications.

4. Responsibilities of the Client:

   • Providing Uniform Specifications: The client will provide the contractor with detailed specifications for the uniforms, including fabric type, colors, measurements, sizes, customizations (e.g., logos, badges), and any other relevant details.
   • Approving Designs and Samples: The client is responsible for reviewing and approving sample designs and prototypes within the agreed-upon time frame.
   • Ensuring Timely Payment: The client will ensure that payments are made according to the agreed schedule.
   • Delivery Location and Timing: The client will provide the contractor with a designated delivery location and a preferred delivery timeline.

5. Quality Assurance and Standards:

   • Fabric Quality: The contractor will ensure that the fabric used for the uniforms meets the required durability, comfort, and safety standards. Fabrics should be appropriate for the intended age group and climate.
   • Stitching and Fit: The contractor will ensure that all uniforms are stitched properly, with reinforced seams and clean finishing. The fit of the uniforms must be accurate according to the provided measurements.
   • Customization Quality: The logos, badges, and any other customizations must be neatly embroidered or printed. The customizations should be long-lasting and not fade after washing.
   • Packaging: Each uniform will be packed securely and labeled with the correct size. The packaging should ensure that the uniforms are protected from damage during transport and delivery.

6. Revisions and Modifications:

   • Design Modifications: If the client requests changes to the uniform design after the prototype phase, the contractor will provide a cost estimate for the additional work required. Any additional designs or modifications will be subject to a revised budget and timeline.
   • Quality Adjustments: If the client identifies any issues with the quality of the uniforms upon delivery, the contractor will be required to fix the issues at no additional cost, provided the issue is a result of manufacturing errors.

7. Termination Clause:

   • By the Client: The client may terminate the contract with 15 days' written notice if the contractor fails to meet agreed-upon deadlines or quality standards. If terminated early, the client will pay for the work completed up to that point.
   • By the Contractor: The contractor may terminate the contract if they are unable to complete the work due to unforeseen circumstances. In such cases, the contractor will ensure that all work completed up to that point is delivered to the client and will provide a refund for any unfulfilled portion of the contract.

8. Confidentiality Clause:

• The contractor agrees to keep all client specifications, designs, and any other confidential information related to the school uniforms private and not share it with any third parties without the client’s prior consent.
• The contractor will not use any designs, logos, or concepts developed for the client for any other project or client.

शामिल पक्ष:

• क्लाइंट:  वह शैक्षणिक संस्थान, स्कूल बोर्ड या अन्य संगठन जिसे छात्रों के लिए स्कूल यूनिफॉर्म के निर्माण की आवश्यकता होती है। क्लाइंट यूनिफॉर्म की विशिष्टताएँ प्रदान करने और छात्रों को यूनिफॉर्म के वितरण की देखरेख करने के लिए जिम्मेदार है।
• ठेकेदार:  स्कूल यूनिफॉर्म बनाने के लिए अनुबंधित निर्माता या आपूर्तिकर्ता। यह एक टेलरिंग कंपनी, परिधान निर्माण फर्म या व्यक्तिगत दर्जी हो सकता है जो ग्राहक की विशिष्टताओं के आधार पर बड़ी मात्रा में यूनिफॉर्म बनाने की क्षमता रखता हो।

बजट:

अनुबंध का बजट ₹1,00,000 से ₹5,00,000 के बीच है , जो यूनिफॉर्म की संख्या और ऑर्डर की जटिलता पर निर्भर करता है। प्रत्येक स्कूल यूनिफॉर्म को क्लाइंट द्वारा प्रदान की गई विशिष्टताओं के अनुसार बनाया जाना अपेक्षित है, और अंतिम बजट कपड़े की गुणवत्ता, अनुकूलन और ऑर्डर की गई मात्रा जैसे कारकों के आधार पर समायोजित किया जाएगा। 

काम की गुंजाइश:

ठेकेदार 1000 स्कूल यूनिफॉर्म डिजाइन करने, बनाने और क्लाइंट को डिलीवर करने के लिए जिम्मेदार होगा, यह सुनिश्चित करते हुए कि सभी यूनिफॉर्म गुणवत्ता, आकार और अनुकूलन के लिए निर्दिष्ट मानकों को पूरा करते हैं। ठेकेदार से कपड़े की सोर्सिंग, सिलाई, अनुकूलन और गुणवत्ता नियंत्रण सहित विनिर्माण के सभी पहलुओं को संभालने की उम्मीद की जाएगी।

1. प्रदान की जाने वाली सेवाएँ:  ठेकेदार इस अनुबंध के भाग के रूप में निम्नलिखित सेवाएँ प्रदान करेगा:

   • वर्दी डिजाइन और अनुकूलन:  ठेकेदार वर्दी के डिजाइन को अंतिम रूप देने के लिए क्लाइंट के साथ काम करेगा। इसमें नमूना डिजाइन या प्रोटोटाइप प्रदान करना, कपड़े का चयन करना और रंग योजना निर्धारित करना शामिल हो सकता है। लोगो, स्कूल बैज या अनूठी सिलाई जैसे अनुकूलन पर भी चर्चा की जाएगी और उन्हें शामिल किया जाएगा।
   • कपड़े की सोर्सिंग और खरीद:  ठेकेदार ग्राहक की आवश्यकताओं के अनुसार उच्च गुणवत्ता वाले कपड़े की खरीद करेगा। ठेकेदार यह सुनिश्चित करेगा कि इस्तेमाल किया जाने वाला सारा कपड़ा टिकाऊ, आरामदायक और स्कूल यूनिफॉर्म के लिए उपयुक्त हो। कपड़े का चयन जलवायु और छात्रों के आयु वर्ग के अनुसार होना चाहिए (उदाहरण के लिए, गर्म जलवायु के लिए सांस लेने योग्य सामग्री)।
   • पैटर्न बनाना और उत्पादन:  ठेकेदार सहमत आकार और माप के आधार पर वर्दी के पैटर्न तैयार करेगा। फिर ठेकेदार बड़े पैमाने पर उत्पादन शुरू करेगा, यह सुनिश्चित करते हुए कि सभी वर्दी सहमत डिज़ाइन विनिर्देशों और आकारों के अनुसार बनाई गई हैं।
   • गुणवत्ता नियंत्रण:  ठेकेदार यह सुनिश्चित करने के लिए सख्त गुणवत्ता नियंत्रण उपायों को लागू करेगा कि प्रत्येक वर्दी सिलाई, फिट और फिनिश के मानकों को पूरा करती है। इसमें कच्चे माल का निरीक्षण, डिजाइन में एकरूपता सुनिश्चित करना और सिलाई, आकार और समग्र गुणवत्ता में किसी भी दोष या त्रुटि की जांच करना शामिल है।
   • थोक उत्पादन:  ठेकेदार आवश्यक आकार और विनिर्देशों में 1000 स्कूल यूनिफॉर्म का उत्पादन करेगा। निरंतर गुणवत्ता सुनिश्चित करने और समय सीमा को पूरा करने के लिए उत्पादन को प्रबंधनीय बैचों में विभाजित किया जाएगा।
   • कस्टमाइज़ेशन और ब्रांडिंग:  अगर यूनिफ़ॉर्म में किसी ब्रांडिंग की ज़रूरत है, जैसे कि स्कूल का लोगो, बैज या कढ़ाई, तो ठेकेदार इन कस्टमाइज़ेशन को सटीकता और गुणवत्ता के साथ संभालेगा। इसमें यूनिफ़ॉर्म पर लोगो, स्कूल के नाम और अन्य ब्रांडिंग सामग्री को प्रिंट करना, सिलाई करना या कढ़ाई करना शामिल हो सकता है।
   • पैकिंग और डिलीवरी:  एक बार यूनिफॉर्म पूरी हो जाने के बाद, ठेकेदार उन्हें क्लाइंट की ज़रूरतों के हिसाब से पैक करेगा। हर यूनिफॉर्म को साफ-सुथरे तरीके से मोड़ा जाएगा, सही साइज़ के साथ टैग किया जाएगा और डिलीवरी के लिए सुरक्षित तरीके से पैक किया जाएगा। ठेकेदार स्कूल या निर्दिष्ट स्थान पर समय पर डिलीवरी सुनिश्चित करेगा।

2. समयसीमा और अंतिम तिथियाँ:

   • डिजाइन और प्रोटोटाइपिंग चरण (2 सप्ताह):  ठेकेदार ग्राहक के साथ मिलकर डिजाइन और कपड़े के चयन को अंतिम रूप देगा। प्रोटोटाइप या नमूना वर्दी बनाई जाएगी और अनुबंध के पहले दो सप्ताह के भीतर ग्राहक को स्वीकृति के लिए प्रस्तुत की जाएगी।
   • उत्पादन चरण (4-6 सप्ताह):  डिज़ाइन स्वीकृत होने के बाद, ठेकेदार उत्पादन शुरू कर देगा। इस चरण में 4 से 6 सप्ताह का समय लगेगा, जो कि बनाई जाने वाली वर्दी की संख्या और डिज़ाइन की जटिलता पर निर्भर करेगा।
   • गुणवत्ता नियंत्रण और अंतिम समायोजन (1 सप्ताह):  उत्पादन चरण के बाद, ठेकेदार गुणवत्ता नियंत्रण जांच करेगा और कोई भी आवश्यक समायोजन करेगा। ग्राहक इस चरण के दौरान वर्दी का निरीक्षण भी कर सकता है और संशोधनों का अनुरोध कर सकता है।
   • पैकिंग और डिलीवरी (1 सप्ताह):  एक बार जब अंतिम वर्दी स्वीकृत हो जाती है, तो ठेकेदार वर्दी को पैक करेगा और डिलीवरी की व्यवस्था करेगा। गुणवत्ता जांच और अनुमोदन के 1 सप्ताह के भीतर डिलीवरी होगी।

3. भुगतान की शर्तें:

   • 30% अग्रिम भुगतान:  अनुबंध पर हस्ताक्षर करने पर ग्राहक कुल बजट का 30% अग्रिम भुगतान करेगा। यह अग्रिम भुगतान कपड़े की खरीद, पैटर्न निर्माण और प्रारंभिक उत्पादन सेटअप जैसी प्रारंभिक लागतों को कवर करेगा।
   • डिज़ाइन स्वीकृति पर 40%:  डिज़ाइन और नमूने क्लाइंट द्वारा स्वीकृत होने के बाद, ठेकेदार को अगला 40% भुगतान प्राप्त होगा। यह थोक उत्पादन लागत को कवर करेगा।
   • डिलीवरी पर 30%:  शेष 30% का भुगतान अंतिम वर्दी वितरित होने पर किया जाएगा और ग्राहक ने पुष्टि कर दी है कि ऑर्डर आवश्यक विनिर्देशों को पूरा करता है।

4. ग्राहक की जिम्मेदारियां:

   • वर्दी के विनिर्देश प्रदान करना:  ग्राहक ठेकेदार को वर्दी के लिए विस्तृत विनिर्देश प्रदान करेगा, जिसमें कपड़े का प्रकार, रंग, माप, आकार, अनुकूलन (जैसे, लोगो, बैज) और अन्य प्रासंगिक विवरण शामिल होंगे।
   • डिजाइन और नमूनों को मंजूरी देना:  ग्राहक सहमत समय सीमा के भीतर नमूना डिजाइन और प्रोटोटाइप की समीक्षा और अनुमोदन के लिए जिम्मेदार है।
   • समय पर भुगतान सुनिश्चित करना:  ग्राहक यह सुनिश्चित करेगा कि भुगतान सहमत समय-सारिणी के अनुसार किया जाए।
   • डिलीवरी स्थान और समय:  ग्राहक ठेकेदार को निर्दिष्ट डिलीवरी स्थान और पसंदीदा डिलीवरी समयरेखा प्रदान करेगा।

5. गुणवत्ता आश्वासन और मानक:

   • कपड़े की गुणवत्ता:  ठेकेदार यह सुनिश्चित करेगा कि वर्दी के लिए इस्तेमाल किया जाने वाला कपड़ा आवश्यक स्थायित्व, आराम और सुरक्षा मानकों को पूरा करता हो। कपड़े इच्छित आयु वर्ग और जलवायु के लिए उपयुक्त होने चाहिए।
   • सिलाई और फिटिंग:  ठेकेदार यह सुनिश्चित करेगा कि सभी वर्दी ठीक से सिली गई हों, मजबूत सीम और साफ फिनिशिंग के साथ। वर्दी का फिट दिए गए माप के अनुसार सटीक होना चाहिए।
   • कस्टमाइज़ेशन क्वालिटी:  लोगो, बैज और कोई भी अन्य कस्टमाइज़ेशन साफ-सुथरे कढ़ाई या प्रिंटेड होने चाहिए। कस्टमाइज़ेशन लंबे समय तक चलने वाले होने चाहिए और धोने के बाद फीके नहीं होने चाहिए।
   • पैकेजिंग:  प्रत्येक वर्दी को सुरक्षित तरीके से पैक किया जाएगा और उस पर सही साइज़ का लेबल लगा होगा। पैकेजिंग से यह सुनिश्चित होना चाहिए कि परिवहन और डिलीवरी के दौरान वर्दी को नुकसान से बचाया जा सके।

6. संशोधन एवं परिवर्तन:

   • डिज़ाइन में संशोधन:  यदि क्लाइंट प्रोटोटाइप चरण के बाद यूनिफ़ॉर्म डिज़ाइन में बदलाव का अनुरोध करता है, तो ठेकेदार आवश्यक अतिरिक्त कार्य के लिए लागत अनुमान प्रदान करेगा। कोई भी अतिरिक्त डिज़ाइन या संशोधन संशोधित बजट और समयसीमा के अधीन होगा।
   • गुणवत्ता समायोजन:  यदि ग्राहक डिलीवरी के समय वर्दी की गुणवत्ता में किसी भी प्रकार की समस्या की पहचान करता है, तो ठेकेदार को बिना किसी अतिरिक्त लागत के समस्याओं को ठीक करना होगा, बशर्ते कि समस्या विनिर्माण त्रुटियों का परिणाम हो।

7. समाप्ति खंड:

   • क्लाइंट द्वारा:  यदि ठेकेदार सहमत समय-सीमा या गुणवत्ता मानकों को पूरा करने में विफल रहता है, तो क्लाइंट 15 दिनों के लिखित नोटिस के साथ अनुबंध समाप्त कर सकता है। यदि समय से पहले अनुबंध समाप्त कर दिया जाता है, तो क्लाइंट उस बिंदु तक पूरा किए गए कार्य के लिए भुगतान करेगा।
   • ठेकेदार द्वारा:  यदि ठेकेदार अप्रत्याशित परिस्थितियों के कारण काम पूरा करने में असमर्थ है तो वह अनुबंध समाप्त कर सकता है। ऐसे मामलों में, ठेकेदार यह सुनिश्चित करेगा कि उस बिंदु तक पूरा किया गया सारा काम क्लाइंट को सौंप दिया जाए और अनुबंध के किसी भी अधूरे हिस्से के लिए धनवापसी प्रदान करेगा।

8. गोपनीयता खंड:

• ठेकेदार ग्राहक की सभी विशिष्टताओं, डिजाइनों और स्कूल यूनिफॉर्म से संबंधित किसी भी अन्य गोपनीय जानकारी को निजी रखने तथा ग्राहक की पूर्व सहमति के बिना उसे किसी तीसरे पक्ष के साथ साझा नहीं करने के लिए सहमत है।
• ठेकेदार ग्राहक के लिए विकसित किसी भी डिजाइन, लोगो या अवधारणा का उपयोग किसी अन्य परियोजना या ग्राहक के लिए नहीं करेगा।
