• Client: The client is an individual or business entity requiring the editing of 200 Instagram Reels, YouTube Shorts, or TikTok videos. The content could be for various purposes such as social media marketing, influencer campaigns, or promotional activities.
• Contractor: The contractor is a video editor or editing agency with the skills and tools to edit short-form videos. The contractor will take raw video footage or pre-recorded content and enhance it to fit the client’s specific needs, adhering to guidelines related to style, format, and duration.

Budget:

The total budget for editing 200 reels is ₹50,000. This budget will cover all aspects of the video editing process, including basic edits, color correction, audio adjustments, and special effects. The payment will be made as per the agreed payment schedule after each milestone is completed.

Scope of Work:

The contractor will be responsible for editing a total of 200 Reels. Each reel will typically have a duration of 15 to 60 seconds and will be edited to engage audiences across social media platforms such as Instagram, TikTok, and YouTube.

1. Services Provided: The contractor will provide the following services as part of this contract:

   • Video Editing: The contractor will edit each reel to include the necessary visual and audio elements. This includes cutting unnecessary parts, improving pacing, and ensuring that the video is optimized for the platform where it will be uploaded.
   • Audio Adjustment and Syncing: The contractor will ensure that the audio is properly synced with the video, adjusting volume levels, eliminating background noise, and possibly adding sound effects or background music to enhance the viewing experience.
   • Color Correction and Grading: The contractor will correct the video footage for any color imbalances, adjusting brightness, contrast, saturation, and hues. If required, the contractor will apply color grading to ensure a professional, polished look for each reel.
   • Text and Graphics: The contractor will add text overlays, captions, logos, or graphics as required. This could include titles, descriptions, call-to-action texts, or branded elements that align with the client's branding.
   • Transitions and Special Effects: The contractor will incorporate transitions between clips, special effects, and animations, enhancing the overall visual appeal of the videos while ensuring they remain engaging for viewers.
   • Format Conversion: The contractor will deliver each video in the required format, ensuring it is suitable for the intended social media platforms (e.g., Instagram, TikTok, YouTube). This may involve resizing, cropping, or reformatting to ensure the videos meet the platform's guidelines.
   • Final Review and Export: The contractor will export the final video in high quality (1080p or higher) and ensure it is optimized for uploading. The client will receive the final version of each video for review and approval before uploading.

2. Timeline and Deadlines:

   • Initial Submission of Draft Edits (1 Week): The contractor will submit the first batch of videos (approximately 40 reels) within one week after receiving the raw footage from the client. These will serve as a sample of the final product.
   • Client Review and Feedback (3 Days): The client will review the first batch of reels and provide feedback within three days. The contractor will make any necessary adjustments based on the feedback.
   • Completion of All Edits (6 Weeks): The remaining 160 reels will be edited within six weeks after receiving the raw footage. The final batch will be delivered in increments of 40 reels per week, ensuring timely delivery and giving the client the opportunity to review each batch.

3. Payment Terms:

   • Initial Payment (30%): An advance of 30% of the total contract value, amounting to ₹15,000, will be paid upon signing the contract. This will cover the initial editing phase, including the first batch of videos.
   • Progress Payments (40%): After the first batch of 40 reels has been delivered and reviewed by the client, 40% of the total contract value (₹20,000) will be paid.
   • Final Payment (30%): The remaining 30% (₹15,000) will be paid after the final batch of reels (the remaining 160 videos) is delivered and accepted by the client.

4. Responsibilities of the Client:

   • Providing Raw Footage: The client will provide the raw video footage for the 200 reels. The client must ensure the quality of the footage and that it is properly formatted for editing. The client must also ensure that all necessary rights, permissions, and licenses are obtained for any media content used in the videos.
   • Feedback and Approvals: The client is responsible for reviewing the initial and final drafts of the edited reels promptly, providing clear feedback and approval to the contractor.
   • Timely Payments: The client will ensure that payments are made on time as per the agreed payment schedule.

5. Quality Assurance and Standards:

   • Engagement and Entertainment: The contractor will ensure that the videos are engaging, entertaining, and optimized for social media platforms. The content will be edited to ensure that it captures the audience's attention quickly, as most social media users tend to scroll quickly.
   • Brand Alignment: The contractor will align the editing style with the client's brand identity, ensuring that elements like logos, fonts, and color schemes are consistent across all videos.
   • Technical Standards: The contractor will ensure that the videos meet technical standards for social media platforms, such as resolution, aspect ratio, and file size, while maintaining high visual and audio quality.

6. Revisions and Modifications:

   • Initial Revisions: The client will be given an opportunity to request revisions after the first batch of reels is submitted. Minor revisions (e.g., trimming sections or adjusting text overlays) will be done at no extra cost.
   • Major Revisions: If the client requires significant changes to the editing style, structure, or content after the final drafts have been delivered, the contractor may charge an additional fee based on the scope of the revisions.

7. Termination Clause:

   • By the Client: The client may terminate the contract with 15 days' written notice. If the contract is terminated after the first batch of reels is delivered, the client will be responsible for paying for the work completed up to that point.
   • By the Contractor: The contractor may terminate the contract if the client fails to provide the necessary materials (raw footage) or make timely payments. In such cases, the contractor will be entitled to payment for the work already completed.

8. Confidentiality Clause:

• The contractor agrees to keep all content confidential and will not share or disclose any footage, drafts, or final videos without the client's permission. The contractor will also ensure that any proprietary information about the client's business remains confidential.
